PanelAlerts is a SaaS product designed for SaaS teams, software companies, product teams, startups, and businesses that want to communicate product updates and collect feedback from their users.

PanelAlerts may allow you to:

• Publish and manage release notes.
• Create and manage public roadmaps.
• Collect and manage feature requests.
• Display announcements and notifications.
• Add an in-app widget to your website or application.
• Communicate product updates to users.
• Manage projects and team members.
• Monitor widget usage.
• Customize the PanelAlerts widget.
• Access other product-management and customer-feedback features made available by PanelAlerts.

PanelAlerts may add, modify, improve, suspend, or discontinue features from time to time.

You must have the legal capacity to enter into these Terms to use PanelAlerts. If you are using PanelAlerts on behalf of a company, organization, or other legal entity, you represent that you have the authority to accept these Terms on behalf of that entity.

By using PanelAlerts, you confirm that:

• The information you provide is accurate and current.
• You will use the Services lawfully.
• You will comply with these Terms.
• You will comply with applicable laws and regulations.
• You will not use the Services for fraudulent, abusive, or unlawful purposes.

Certain PanelAlerts features require an account. When creating an account, you agree to provide accurate, complete, and current information and to keep your information updated.

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• Protecting your account.
• All activity performed through your account.
• Managing authorized team members.
• Removing team members who no longer require access.
• Informing PanelAlerts if you suspect unauthorized access to your account.

You must not create an account using false information, impersonate another person or organization, or create accounts for fraudulent purposes.

PanelAlerts currently offers two subscription plans:

Both plans are available with monthly or yearly billing, subject to the pricing and terms displayed at the time of purchase. Plan features, limits, prices, and availability may be changed in accordance with these Terms and applicable law.

Both Starter and Pro subscriptions may be purchased on a monthly or yearly basis. For monthly subscriptions, the subscription renews automatically at the end of each monthly billing period unless canceled before the next renewal. For yearly subscriptions, the subscription renews automatically at the end of each annual billing period unless canceled before the next renewal.

By purchasing an automatically renewing subscription, you authorize PanelAlerts or its payment processor to charge the applicable subscription fee using your selected payment method.

Current standard subscription prices are:

The yearly subscription price may differ from simply multiplying the monthly price by twelve if PanelAlerts offers an annual discount or promotional pricing. The applicable price displayed during checkout will apply to the transaction.

PanelAlerts may change subscription prices, features, usage limits, or plan structures from time to time. Where required by applicable law, we will provide reasonable notice of material price changes before they apply to a future renewal. Price changes will not retroactively alter a completed transaction unless required by law or necessary to correct an obvious pricing error.

Unless otherwise stated during checkout, paid subscriptions automatically renew at the end of the applicable billing period. You may cancel your subscription before the next renewal date. If you do not cancel before the renewal date, the subscription may automatically renew and the applicable subscription fee may be charged.

You may cancel your subscription at any time.

Unless otherwise stated or required by applicable law:

• Cancellation prevents future automatic renewal.
• You may continue using paid features until the end of your current paid billing period.
• Cancellation does not automatically entitle you to a refund for unused time.
• Your account may be downgraded or restricted after the current subscription period ends.

Refunds are governed by the PanelAlerts Refund & Cancellation Policy. Please review the full policy before purchasing or renewing a subscription: panelalerts.com/pages/refund-policy.

Unless otherwise required by applicable law:

• Subscription payments are generally non-refundable after the applicable billing period begins.
• Partial-period refunds are generally not provided for cancellations.
• Unused subscription time does not automatically qualify for a refund.
• Promotional payments, discounts, or credits may be subject to additional conditions.
• Refund requests may be reviewed individually.

Nothing in these Terms limits any mandatory consumer rights that cannot legally be excluded. The Refund & Cancellation Policy forms part of these Terms and should be read together with the provisions relating to subscriptions, billing, automatic renewal, and cancellation.

PanelAlerts may offer free trials, promotional pricing, discounts, credits, or other special offers. The terms of each promotion will be disclosed when the promotion is offered. PanelAlerts may limit promotional offers to eligible customers and may prevent multiple uses of promotions where reasonably necessary to prevent abuse. Unless otherwise stated, PanelAlerts may modify or discontinue promotional offers at any time.

Payments may be processed through third-party payment providers. By subscribing to PanelAlerts, you authorize the applicable payment processor to charge your selected payment method for the subscription and any other authorized charges. You agree to provide accurate and valid billing information. PanelAlerts is not responsible for payment failures caused by your bank, card issuer, payment provider, or other third party.

If a subscription payment fails, PanelAlerts or its payment provider may attempt to process the payment again. If payment remains unsuccessful, PanelAlerts may:

• Restrict paid features.
• Suspend the subscription.
• Downgrade the account.
• Cancel the subscription.
• Restrict access to certain Services.

Where reasonably practicable, we may provide notice before taking such action.

Depending on your subscription, PanelAlerts allows you to manage a specified number of projects. The current project limits are: Starter — 1 project; Pro — 2 projects. A project may represent a website, SaaS application, product, or other supported digital property. You must not attempt to bypass project limits by creating multiple accounts or otherwise circumventing the technical restrictions of your subscription.

PanelAlerts allows account owners to invite team members according to their subscription plan. Current limits are: Starter — up to 2 team members; Pro — up to 3 team members.

The account owner is responsible for:

• Inviting authorized team members.
• Managing team-member access.
• Maintaining appropriate permissions.
• Removing former team members.
• Ensuring that team members comply with these Terms.

Actions performed by authorized team members may be treated as actions performed on behalf of the account holder.

PanelAlerts subscription plans include monthly notification limits: Starter — 1,000 notifications per month; Pro — 2,000 notifications per month. Notification usage is measured according to PanelAlerts’ technical systems. Unused notification allowances generally do not carry over to the next billing period unless PanelAlerts expressly states otherwise. PanelAlerts may modify its measurement methodology when reasonably necessary to maintain accurate usage measurement or prevent abuse.

PanelAlerts subscription plans include monthly widget-view limits: Starter — 10,000 widget views per month; Pro — 20,000 widget views per month. Widget views may be measured based on the loading, display, or access of the PanelAlerts widget according to PanelAlerts’ technical measurement system, and PanelAlerts may update this methodology. If you reach or exceed your plan’s usage limit, PanelAlerts may require you to upgrade your subscription or wait until the applicable usage period resets.

You may create, upload, submit, publish, or otherwise provide information through PanelAlerts, including release notes, product announcements, roadmap items, feature requests, images, logos, text, product information, customer feedback, and other materials (“Customer Content”).

You retain ownership of your Customer Content. By using PanelAlerts, you grant PanelAlerts a limited, worldwide, non-exclusive license to host, store, process, reproduce, display, transmit, and otherwise use your Customer Content as reasonably necessary to provide, operate, maintain, secure, and improve the Services. This license does not transfer ownership of your Customer Content to PanelAlerts.

PanelAlerts allows customers to create public roadmaps, release notes, feature requests, and other publicly accessible content. If you choose to publish content publicly, you acknowledge that such content may be accessible to the public.

You are responsible for ensuring that public content does not contain:

• Confidential information.
• Passwords or API keys.
• Sensitive customer information.
• Personal information that you are not authorized to publish.
• Trade secrets.
• Copyrighted material that you do not have permission to use.
• Other information that should not be publicly disclosed.

PanelAlerts is not responsible for information you intentionally publish publicly.

PanelAlerts may allow your users or customers to submit feature requests. You are responsible for managing and moderating feature requests submitted through your account. Submitting a feature request does not guarantee that PanelAlerts, you, or any other party will develop, prioritize, implement, or deliver the requested feature.

PanelAlerts provides an in-app widget that may be installed or integrated into your website, SaaS application, or other supported environment.

You are responsible for:

• Maintaining your own website or application.
• Properly installing the PanelAlerts widget.
• Ensuring that you have the necessary rights to use the relevant website or application.
• Maintaining your own infrastructure.
• Ensuring compliance with applicable laws.
• Providing appropriate privacy disclosures to your users.
• Obtaining required user consent where applicable.

PanelAlerts is not responsible for problems caused by your website, application, code, hosting provider, or other infrastructure outside PanelAlerts’ control.

You agree to use PanelAlerts only for lawful purposes. You must not:

• Violate applicable laws or regulations.
• Commit fraud.
• Facilitate illegal activity.
• Harass, threaten, or abuse others.
• Distribute malware or malicious code.
• Conduct phishing or scams.
• Infringe intellectual-property rights.
• Collect personal information unlawfully.
• Attempt unauthorized access to PanelAlerts.
• Interfere with the Services.
• Circumvent security measures or subscription/usage limits.
• Reverse engineer the Services, except where prohibited from restricting such activity by applicable law.
• Abuse APIs or automated systems.
• Attempt to disrupt PanelAlerts infrastructure.
• Use PanelAlerts to attack or compromise another system.
• Upload content intended to compromise the security of PanelAlerts or its users.
• Resell PanelAlerts Services without written authorization.

PanelAlerts may suspend or terminate accounts involved in prohibited activities.

All rights, title, and interest in PanelAlerts and its Services remain with PanelAlerts or its licensors. This includes, without limitation, software, source code, website design, user interfaces, logos, trademarks, documentation, graphics, product architecture, databases, templates, branding, and proprietary technology. Except for the rights expressly granted under these Terms, no intellectual-property rights are transferred to you.

“PanelAlerts” and associated logos, names, and branding are owned by PanelAlerts or their respective owners. You may not use PanelAlerts branding in a manner that suggests an unauthorized partnership, sponsorship, endorsement, or affiliation.

PanelAlerts may rely on or integrate with third-party services, including payment processors, hosting providers, analytics services, authentication providers, email providers, and other external services. Third-party services may have separate terms and privacy policies. PanelAlerts is not responsible for failures, outages, policy changes, or actions taken by third-party providers outside our reasonable control.

PanelAlerts aims to provide reliable access to its Services but does not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable because of maintenance, software updates, infrastructure failures, hosting issues, security incidents, internet or network failures, third-party outages, emergency maintenance, or events beyond our reasonable control. PanelAlerts may modify or temporarily suspend portions of the Services when necessary.

PanelAlerts may occasionally provide beta, preview, experimental, or early-access features. Such features may change without notice, contain bugs, have limited functionality, be unavailable at certain times, or be discontinued. PanelAlerts does not guarantee that experimental features will become permanent features.

Your use of PanelAlerts is also governed by our Privacy Policy. PanelAlerts may process information necessary to operate the Services, including account information, billing information, technical information, usage information, and Customer Content. If you use PanelAlerts to process personal information belonging to your own customers or users, you are responsible for ensuring that your collection, use, storage, and disclosure of that information complies with applicable privacy and data-protection laws. Where necessary, additional data-processing terms may apply.

PanelAlerts takes reasonable technical and organizational measures designed to protect its Services and information processed through them. However, no online service can guarantee absolute security.

You are responsible for protecting:

• Account credentials.
• Passwords.
• API keys.
• Team-member access.
• Your own website and application.
• Your own infrastructure.
• Third-party integrations.

If you discover suspected unauthorized access to your PanelAlerts account, you should notify us promptly.

You may provide PanelAlerts with confidential business, technical, or commercial information. PanelAlerts will use reasonable measures to protect information that is identified as confidential or that should reasonably be understood to be confidential.

Confidential information does not include information that:

• Is publicly available.
• Becomes publicly available without a breach of these Terms.
• Was already lawfully known to PanelAlerts.
• Is independently developed.
• Is lawfully obtained from another source.

PanelAlerts may disclose confidential information where required by applicable law or lawful governmental or judicial request.

PanelAlerts provides software tools that help SaaS teams communicate with users and collect product feedback. PanelAlerts does not guarantee specific business results, including increased sales, revenue, customer retention, engagement, conversions, product adoption, website traffic, customer satisfaction, successful product launches, or increased customer feedback. Business results depend on many factors outside PanelAlerts’ control.

To the maximum extent permitted by applicable law, PanelAlerts provides the Services on an “as is” and “as available” basis. PanelAlerts does not guarantee that the Services will always be available, will always be error-free, will satisfy every particular requirement, that every feature will remain available, that the Services will work with every third-party system, or that the Services will produce specific business results. Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot legally be excluded or limited.

To the maximum extent permitted by applicable law, PanelAlerts and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the Services, including loss of profits, revenue, customers, data, or goodwill, business interruption, loss of anticipated savings, or loss resulting from third-party services or downtime.

To the maximum extent permitted by applicable law, PanelAlerts’ aggregate liability arising from or relating to the Services will be limited to the total amount you paid to PanelAlerts for the Services during the 12 months immediately preceding the event giving rise to the claim. This limitation does not apply to liability that cannot legally be limited or excluded.

To the extent permitted by applicable law, you agree to indemnify and hold harmless PanelAlerts, its owners, officers, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, losses, damages, and reasonable expenses arising from:

• Your violation of these Terms.
• Your misuse of the Services.
• Your Customer Content.
• Your violation of applicable law.
• Your violation of third-party rights.
• Your website or application.
• Your unauthorized use of the Services.

PanelAlerts may suspend, restrict, or terminate your account if we reasonably believe that:

• You violated these Terms.
• Your account is being used fraudulently.
• Your account creates a security risk.
• You failed to pay applicable fees.
• You abused the Services.
• You attempted to bypass usage restrictions.
• Your use of the Services violates applicable law.
• Your activity creates a risk to PanelAlerts or other users.

Where reasonably practicable, PanelAlerts may provide notice before suspension or termination. Immediate action may be taken where necessary to protect the Services, users, security, or legal interests of PanelAlerts.

Following termination:

• Your right to access the Services may end.
• Paid features may become unavailable.
• Your subscription will stop renewing.
• Your Customer Content may be deleted according to PanelAlerts' data-retention practices.
• Certain information may be retained for legal, security, accounting, fraud-prevention, dispute-resolution, backup, or other legitimate purposes.

You remain responsible for unpaid fees and obligations that arose before termination.

Where PanelAlerts provides data-export or account-deletion functionality, you may use the available tools to manage your information. You are responsible for exporting data you need before closing your account. Following termination or account deletion, PanelAlerts may permanently delete account information and Customer Content after an applicable retention period, subject to legal, security, backup, and operational requirements.

PanelAlerts is continually developing its platform. We may add new features, modify or remove existing features, change technical requirements or usage limits, improve the interface, change infrastructure, or discontinue features. Where appropriate or required by applicable law, we will provide reasonable notice of material changes.

PanelAlerts may update these Terms from time to time. When changes are made, the “Last Updated” date at the top of this page will be updated. For material changes, PanelAlerts may provide additional notice where appropriate or required by applicable law. Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

By using PanelAlerts, you agree to receive electronic communications relating to your account, subscription, billing, security, service operation, and other administrative matters. Communications may be delivered by email, dashboard notifications, or other electronic methods. Electronic records and communications may be used to document transactions and agreements where permitted by applicable law.

These Terms shall be governed by and interpreted in accordance with the applicable laws of the United Arab Emirates and the Emirate of Dubai, subject to mandatory rights and protections applicable to you under relevant law. Any dispute arising out of or relating to these Terms or the Services shall be subject to the jurisdiction of the appropriate courts of Dubai, United Arab Emirates, unless applicable law requires another forum or dispute-resolution mechanism.

Nothing in these Terms is intended to exclude or restrict mandatory consumer rights available under applicable law. Where applicable, PanelAlerts will comply with relevant UAE consumer-protection requirements applicable to its Services and subscriptions.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be limited or interpreted to the extent necessary to make it enforceable where legally permitted. The remaining provisions will remain in full force and effect.

If PanelAlerts does not immediately enforce a provision of these Terms, this does not constitute a waiver of our right to enforce that provision in the future.

You may not transfer or assign your rights or obligations under these Terms without PanelAlerts’ prior written consent, except where such restriction is prohibited by applicable law. PanelAlerts may assign or transfer its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, or similar transaction.

These Terms, together with the PanelAlerts Privacy Policy, Refund & Cancellation Policy, and any other policies expressly incorporated into these Terms, constitute the entire agreement between you and PanelAlerts regarding your use of the Services. The PanelAlerts Refund & Cancellation Policy is available at panelalerts.com/pages/refund-policy. By subscribing to PanelAlerts, you acknowledge that you have had the opportunity to review the Refund & Cancellation Policy and agree that it forms part of the applicable terms governing your subscription, subject to mandatory rights under applicable law.

By creating an account, purchasing a subscription, installing the PanelAlerts widget, or using the Services, you acknowledge that:

• You agree to comply with applicable laws.
• You agree to the PanelAlerts Privacy Policy and other applicable policies, including the Refund & Cancellation Policy.
